Qualcomm can Take Over Veoneer’s Arriver Business

The German Competition Authority (“the Bundeskartellamt”) has cleared plans by the US chip manufacturer Qualcomm Incorporated to take over the software division of the Swedish automotive supplier Veoneer Inc.

Qualcomm and Veoneer have agreed to cooperate in the field of automated driving to provide an integrated driver assistance system based on Qualcomm's chip system and Veoneer's software under the Arriver brand (21.03.2022).

The merger is subject to review only under merger control because of the transaction value threshold. This merger also indicates the compliance of the transaction value threshold, which is included in the German Competition Act (GWB). The transaction value threshold applies if the value in question exceeds 400 million euros and the activities of the target company in Germany are significant. Thanks to the transaction value threshold, it can be evaluated by the competition authority in cases of mergers and/or acquisitions of companies in Europe.
